This Master Legal Agreement shall constitute a binding contractual agreement between Zeno Ventures LLC. and/or its affiliates (“ZenoCloud”) and the subscriber of services (“Client”). The Master Legal Agreement shall include the Terms of Service (TOS), the Acceptable Use Policy (AUP), the Service Level Agreement (SLA), and the Privacy Policy (PP). The Client agrees to be bound by all agreements found herein.
ZenoCloud provides an industry-leading product and is pleased to support it with this Service Level Agreement (“SLA”). This SLA is an addendum to and is hereby incorporated into the Terms of Service. Any terms not defined in this SLA will have the definitions set out in our Terms of Service. The remedies described in this SLA are the Client’s sole and exclusive remedy for issues covered by the SLA. In the event of a conflict between this SLA and the Terms of Service, the Terms of Service shall prevail.
We reserve the right to modify this SLA at our sole discretion. If changes are made, we will notify you by revising the date at the top of this SLA. Your continued use of the Services following the notification of changes will constitute your acceptance of those changes. We recommend periodically reviewing this SLA for any updates.
To determine whether the Uptime Guarantee has been met, Covered Downtime will be compared to the time in a typical 30-day period (43,200 minutes). If Covered Downtime exceeds 43 minutes (0.1% of a typical 30-day period), it will be determined that the Uptime Guarantee has not been met.
If the Uptime Guarantee is not met, upon request, you will receive SLA Credits equal to 5% of your Monthly Plan Value for each full hour (60 minutes) of Covered Downtime. For example:
If you switch hosting plans during the Monthly Billing Period, your Monthly Plan Value will be calculated based on the time spent on each plan during the period. For example, in a 30-day period, if you spent 10 days on a $30/month plan and 20 days on a $60/month plan, the Monthly Plan Value would be $50, and SLA credits would be issued based on that value.
To receive SLA Credits, you must submit a request via the chat system in MyZenoCloud no later than the end of the Monthly Billing Period following the period in which the Uptime Guarantee was not met.
SLA Credits will be added to your Hosting Account and applied to future invoices. These credits will not exceed the Monthly Plan Value for the month in which the Uptime Guarantee was not met, and will not be paid in cash.
If you terminate your Hosting Account or Agreement before the SLA Credit is applied, you will forfeit the credit.
Downtime caused by any of the following, as determined at our sole discretion, will not be included in Covered Downtime and will not be eligible for SLA Credit:

Subject to your compliance with all terms and conditions of this Agreement, ZenoCloud will provide the Services and Support as agreed upon during the term of this Agreement, following the commitments made in the Service Level Agreement (SLA).
If ZenoCloud fails to meet the obligations defined in the SLA, your sole remedy will be the issuance of Service Credits as set forth in the SLA.
Clients are required to pay all fees on time via the valid payment gateway provided on the website.
ZenoCloud reserves the right to modify fees with prior notice. In the case of free trials or promotional periods, the account will renew at the standard rate at the end of the promotional period.
You are responsible for paying taxes such as sales, VAT, or any other taxes related to the services.
Any disputed fees must be notified in writing within 14 days of the invoice date. Failure to do so will waive your right to dispute the charges.
ZenoCloud may suspend the services if:
In case of suspension, you must pay all due fees, including late payment interest, if applicable.
To cancel services, submit a ticket at least 7 to 30 days before the end of your billing cycle. Services will be canceled within 3–4 days, allowing you time to gather and transfer your files.
For monthly billing plans, ZenoCloud does not provide refunds. However, refunds may be issued on a case-by-case basis at ZenoCloud’s discretion.
For annual billing plans, a pro-rated refund for the unused portion will be issued if the plan is canceled.
Refunds, once approved, will be processed within 7-10 business days.
ZenoCloud may terminate the Agreement in case of a material breach by you, providing 7 days’ notice to resolve the issue. ZenoCloud may terminate immediately for violations of the Acceptable Use Policy.
Any changes to the services during the term will result in a new Service Order and Agreement.
Both parties agree to safeguard confidential and proprietary information, including intellectual property. Confidential information will be returned upon request unless necessary for post-termination obligations.
ZenoCloud represents that the services will comply with the Service Level Agreement. However, ZenoCloud disclaims all other warranties, including those related to uninterrupted service or data security.
ZenoCloud’s cumulative liability will not exceed the total fees paid by you for the last three months before the event causing the claim. ZenoCloud is not liable for special, incidental, or consequential damages.
ZenoCloud will indemnify you for claims arising from ZenoCloud’s gross negligence or willful misconduct, and you will indemnify ZenoCloud for claims arising from your breach of the Agreement or the Acceptable Use Policy.
